Position: Company Secretary (EVP / SEVP)
Location: Head Office, Karachi
Reporting to: Chairman Board of Directors
Basic Eligibility Criteria:

Age Limit: Maximum 57 years by the application deadline.

Education:
-
Master’s degree in Business Administration, Commerce, or Law (HEC-recognized).
-
Foreign qualifications require HEC equivalence.
-
Membership with a recognized body of Professional Accountants or Corporate/Chartered Secretaries.

Experience:
-
Minimum 22 years in Banking/Financial Sector/Multinational/Large Organizations, including 10 years as Company Secretary.

Preference for candidates with Legal/Compliance/Audit/Corporate Affairs experience in the financial sector.

Skills & Knowledge:
-
Expertise in Corporate Governance, SBP/SEPC regulations, Banking Companies Ordinance, and Banks’ Nationalization Act.
-
Strong communication, analytical, drafting, and organizational skills.
-
Ability to work under pressure and meet deadlines.

Key Responsibilities:
-
Ensure compliance with Corporate Governance Codes, regulatory requirements, and Board Committee ToRs.
-
Facilitate Board meetings, AGMs/EOGMs, and statutory filings within deadlines.
-
Prepare agendas, minutes, and follow up on Board decisions.
-
Liaise with SBP, SECP, PSX, and subsidiaries for regulatory compliance.
-
Maintain records of BoD, CEO, and update NBP’s website.
Employment Terms:

Contract: 3 years (renewable based on performance).

Compensation: Competitive, negotiable, and aligned with Bank’s policies.
